On or about, February 21 2013 Trinity Industries filed their 10-K Annual Report with the SEC. In this Report they disclosed some of the Legal Battles that the company is entangled in at that time. They represent: “The Company is involved in claims and lawsuits incidental to our business. Based on information currently available with respect to such claims and lawsuits, including information on claims and lawsuits as to which the Company is aware but for which the Company has not been served with legal process, it is management's opinion that the ultimate outcome of all such claims and litigation, including settlements, in the aggregate will not have a material adverse effect on the Company's overall financial condition for purposes of financial reporting. However, resolution of certain claims or lawsuits by settlement or otherwise, could impact the operating results of the reporting period in which such resolution occurs.” This was represented at the time of the annual filing.
Over one year earlier, On or about, February 3, 2012, Director and Executive Officer, Heather Perttulla Randall Vice President, Legal Affairs and Government Relations, authored a letter and an affidavit outlining and asserting that the lawsuit “in fact, has caused Trinity incalculable damages” from the very same legal proceedings that have been referenced in NOTE 18 of the Annual Report. The motion that was filed in that action outlined a complete chronological evolution of the secretly modified guardrail terminal that was never disclosed to the Federal Highway Administration. But yet in the subsequent filings of the three quarterly reports, nothing was ever disclosed. Only after various investigations does Trinity disclose a much different opinionated limited exposure, NOTE 18. According to the SEC-4 "Insider Trading" filings, sales are up along with March 20, 2013 profits.
